Terms of Service.

By accessing or using the services provided by Fattah Labs Ltd. (“Fattah Labs,” “we,” “our,” or “us”), including our website at fattahlabs.com, the TaxJeje product at taxjeje.com, and any direct‑client engagement (the “Services”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, please do not use our Services.

Fattah Labs builds production software in two streams:

Direct services. Fixed‑scope engagements for client businesses, public institutions, and operators — an Operations Audit, enterprise builds, compliance and automation systems, and ongoing retainers for teams running on what we built. Each engagement is governed by a separate written agreement that supplements these Terms.

Products. Software shipped under our own name. Our current product is TaxJeje — tax compliance for every Nigerian taxpayer under the Nigeria Tax Act 2025, live at taxjeje.com.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with reasonable notice for paid customers.

To access certain features of our Services, you may be required to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, outdated, or incomplete.

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful code, viruses, or malware
• Engage in unauthorised data collection or scraping
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorised access to any part of the Services
• Use the Services for any illegal or fraudulent purpose
• Impersonate any person or entity
• Submit invoices to NRS that you are not authorised to submit

We reserve the right to terminate your access to the Services for any violation of these Terms.

All content, features, and functionality of our Services — including text, graphics, logos, icons, images, audio clips, software, and compilations — are the exclusive property of Fattah Labs or its licensors, and are protected by Nigerian and international copyright, trademark, patent, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent.

For direct‑client engagements, the project agreement governs intellectual property ownership of the deliverables. As a default, custom code and infrastructure delivered to a client transfer to the client on final payment, while Fattah Labs retains the right to reuse generic patterns, libraries, and components developed during the engagement.

For paid Services:

• All fees are quoted in Nigerian Naira (NGN) unless otherwise specified
• Payment is due in accordance with the billing terms specified for each Service
• We use third-party payment processors (such as Paystack) for payment processing
• You agree to pay all charges at the prices in effect when incurred
• We reserve the right to change our prices at any time with reasonable notice
• All sales are final unless otherwise specified in writing

Your use of our Services is also governed by our Privacy Policy. By using our Services, you consent to the collection and use of information as described in that policy.

The Services are provided “as is” and “as available” without any warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, timely, secure, or error‑free.

We make no warranties or representations about the accuracy or completeness of the content available through our Services, or the content of any websites linked to our Services. TaxJeje's tax calculations are based on our reading of the Nigeria Tax Act 2025 and related schedules; they are not a substitute for advice from a qualified accountant or tax professional.

To the maximum extent permitted by law, Fattah Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including without limitation loss of profits, data, use, goodwill, or other intangible losses — resulting from:

• Your access to or use of, or inability to access or use, the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorised access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount paid by you to us during the twelve (12) months prior to the claim.

You agree to defend, indemnify, and hold harmless Fattah Labs and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict‑of- ‑law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Kaduna State, Nigeria.

Fattah Labs Ltd. is a Nigerian company registered with the Corporate Affairs Commission (CAC) under RC 9223584. Our operations are subject to the following Nigerian regulatory frameworks relevant to our Services:

Data protection. The Nigeria Data Protection Act (NDPA) 2023 and the Nigeria Data Protection Regulation (NDPR) 2019, administered by the Nigeria Data Protection Commission (NDPC) and the National Information Technology Development Agency (NITDA). Where required by the threshold criteria for Data Controllers of Major Importance, we will register with the NDPC, appoint a Data Protection Officer, and file annual Compliance Audit Returns through a licensed Data Protection Compliance Organisation (DPCO).

Taxation. The Nigeria Tax Act (NTA) 2025 and related schedules issued by the Nigeria Revenue Service (NRS). TaxJeje's calculations and invoice clearance flows are built against the NRS Merchant Buyer Solution and the NTA 2025 schedule.

Payments. Central Bank of Nigeria (CBN) regulations apply to payment processing. Fattah Labs does not directly process payments — we integrate with CBN‑licensed third‑party processors (such as Paystack), and payment data is governed by their published terms in addition to ours.

Corporate. Companies and Allied Matters Act (CAMA) 2020, as administered by the Corporate Affairs Commission.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the change becoming effective. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
